How do I Incorporate an IBC?

The process is simple just follow these steps:

  1. Fill in the IBC Request form and be sure to include at least 3 choices for a company name. You must specify who will be the beneficial owners/shareholders of the company and the number of shares each shareholder will hold. An offshore company may have a minimum of one shareholder.
  2. Email or fax to us the request form together with a certified copy of passport of the proof of address of each shareholder and director.
    • Copy of your Passport or Drivers License
    • A reference from your bank addressed to "To whom it may concern, Victoria, Mahe, Seychelles". The reference letter should be on the letterhead of the bank.
    • Send a wire transfer as per the instructions on the Wire Transfer page and inform us whether you want the documents air-mailed or sent by courier. Include an extra US$110.00 if you require courier service
    • Send an additional reference (one character reference from someone you've known for at least 2 years) as well as one financial reference (from a Bank with which you have at least a two year banking history)
    • Memorandum and Articles of Association
    • Certificate of Incorporation
    • Resolution Electing first Director(s)
  3. International Law & Corporate Services (Pty) Ltd will confirm your choice of name by E-Mail or Fax within 12 hours.
  4. On receipt of cleared funds International Law & Corporate Services (Pty) Ltd will incorporate the company within 24 to 48 hours.
  5. International Law & Corporate Services (Pty) Ltd, will forward the original company documents as detailed below:
    • Memorandum and Articles of Association
    • Certificate of Incorporation
    • Resolution Electing first Director(s)
    • Resignation of Subscribers Right
    • Share Certificates
    • Apostilled bound consisting of
    • Memorandum & Articles of Incorporation
    • Certificate of Incorporation
    • Resolution electing first Director(s)
  6. *NOTE*

  7. The annual maintenance fee is due on the anniversary date of incorporation of the company. Be sure to send your payment through bank transfer to cover the Government fee and Registered Agent/Registered Office fee before the anniversary date of incorporation.
